These Terms and Conditions (“Terms”) govern your use of digitalmxlytics.com and your relationship with Digital Mxlytics (“we,” “us,” “our”) when you browse this site, submit an enquiry, or engage us for PPC or SEO services.
A written proposal, invoice, or confirmation email that sets price, platforms, and start date sits on top of this page for those commercial specifics. This page governs everything else. How we handle personal data is covered separately in our Privacy Policy, not here.
By using this website or engaging our services, you agree to these Terms. If you don’t agree, please don’t use the site or engage us.
1. Who We Are
Digital Mxlytics is a founder-operated digital marketing agency run by Ashutosh Zala, based in Greater Noida, Uttar Pradesh, India, and registered there as a Udyam business. We provide PPC campaign management and professional SEO to businesses in the United States, United Kingdom, Canada, Australia, and other international markets. You can read more on About Us.
These services are sold to businesses, not consumers. If you’re purchasing as a private individual for personal use rather than on behalf of a business, please don’t proceed — these Terms and our pricing are built around a B2B engagement.
2. Use of This Website
Content on this site is general information about our services — it isn’t a bid, a guarantee, or legal, tax, or investment advice. You may browse, read, and contact us for lawful business purposes only. You agree not to:
- Attempt unauthorised access to the website or its systems
- Interfere with the website’s operation or security, or introduce malicious code
- Scrape, copy, or commercially reuse substantial portions of the website without written permission
- Misrepresent your identity or business when contacting us
- Submit false details, spam, or someone else’s personal data through our forms
Any calculator or estimator on this site (budget, business type, traffic, or similar) is an illustration, not a forecast of your results. We may change or remove pages, including service pages, without notice.
3. Intellectual Property
Unless otherwise stated, the content on this website — copy, branding, logos, layouts, and original frameworks — belongs to Digital Mxlytics. You may view and use the site for your own informational purposes, but you may not reproduce, distribute, or commercially exploit our content without prior written permission. Third-party trademarks (Google, Meta, LinkedIn, and others) belong to their respective owners.
If we create ads, copy, or reports inside your own ad or analytics accounts, and you’ve paid the invoices covering that work, you may keep using it there. Our internal templates, checklists, and this website remain ours.
4. Our Services
Service scope, deliverables, pricing, and timelines are agreed separately through a proposal, invoice, or written confirmation. Current plans are described on the PPC Campaign Management Services and Professional SEO Services pages, but those pages can change — the scope that binds a specific engagement is whatever we’ve confirmed in writing before you pay.
Unless a written proposal says otherwise, ad spend, third-party software you already pay for, landing-page rebuilds, and work beyond your plan’s listed scope are not included. We manage campaigns and SEO work; we don’t run your company, close your leads, or staff your sales team.
5. No Guaranteed Marketing Results
Digital marketing performance depends on factors outside our control, including market competition, advertising costs, search demand, your website’s condition, your offer and pricing, your conversion rate and sales process, and changes to advertising-platform or search-engine algorithms.
We do not guarantee a specific number of leads, sales, rankings, revenue, ROAS, cost per lead, or other marketing outcome unless a written agreement expressly states otherwise. Pricing, calculators, and estimates on this website are not promises of future performance.
6. PPC Advertising & Ad Spend
Where we manage paid advertising, the ad spend paid to Google, Meta, LinkedIn, or another platform is separate from our management fee and is billed directly to you by that platform. We do not guarantee that a platform will approve an ad, maintain a particular cost or traffic level, or avoid account restrictions — those platforms can change policy, pricing, and approval requirements at any time. We use reasonable professional effort within the agreed scope, but we can’t control platform decisions.
7. SEO Services & Search Rankings
SEO is an ongoing process, not a guaranteed ranking outcome. We do not guarantee a specific Google ranking, keyword position, traffic volume, or timeframe for results. SEO outcomes are affected by algorithm changes, competitors, technical factors, and market demand outside our control. Our work follows accepted optimisation practices within the agreed scope.
8. Client Responsibilities
You agree to provide accurate, timely business information and the access we reasonably need (ad accounts, analytics, Tag Manager, Search Console, website backend, brand and content assets). You must own or have the right to use everything you send us, and you remain responsible for the accuracy and legality of the claims, offers, and business information you supply. Delays in providing access, approvals, or feedback may push back timelines — we’re not in breach because we were waiting on you. We aim to respond to your requests within a reasonable time (five business days as a general guide, unless your proposal states otherwise).
9. Access to Client Accounts and Data
Where you grant us access to accounts such as Google Ads, Meta Ads, LinkedIn Ads, Google Analytics, Search Console, or Tag Manager, we use that access for the agreed purpose only. Your accounts, advertising data, and customer information remain your property — we don’t claim ownership of them by virtue of having access. When an engagement ends, we remove or relinquish our access where reasonably practical, except for records we’re required to retain for legal, accounting, or compliance purposes.
10. Payments & Billing
Prices on our service pages are stated in USD unless an invoice says otherwise. Monthly management fees are billed in advance of each billing cycle. Ad spend is never part of our fee — you pay Google, Meta, or LinkedIn directly.

Late payment may result in a temporary pause of services. You remain responsible for fees incurred before a pause or termination. Applicable taxes or payment-processing charges may apply depending on your location.
11. Refunds & Cancellation
Fees for services already performed are generally non-refundable, unless otherwise agreed in writing or required by law. If we decline to take on an engagement before work starts, we refund any unused fee already paid.
Our engagements run month-to-month with 30 days’ written notice to cancel, sent to contact@digitalmxlytics.com. During the notice period, the current plan continues to run and remains billable. Ad spend paid directly to a third-party platform follows that platform’s own billing and refund policies, which we don’t control.
12. Taxes & Compliance
Digital Mxlytics currently operates without GST registration, as it isn’t yet statutorily required. If GST or another tax becomes applicable, we’ll reflect it on future invoices and inform clients accordingly. You remain responsible for your own tax obligations in your own country.
13. Confidentiality
Both parties agree to keep the other’s non-public business information, login credentials, strategy documents, and other confidential data private, except where disclosure is legally required or the information is already public. This obligation survives the end of the engagement.
14. Third-Party Platforms
Our work depends on third-party platforms — Google, Meta, LinkedIn, Hostinger, WordPress/Elementor, WhatsApp, and analytics tools among them. We’re not responsible for outages, account suspensions, policy or algorithm changes, or other actions taken by these platforms that are outside our control. Where a platform decision affects your account, we’ll assist with troubleshooting within the agreed scope, but we can’t guarantee the outcome.
15. Testimonials, Examples & Results
Any case study, testimonial, or performance figure we publish is illustrative, not a guarantee. Past performance doesn’t predict future results — outcomes for one business aren’t necessarily achievable for another, given differences in market, budget, offer, and starting conditions.

This site may link to third-party websites for reference or convenience. We don’t control those sites and aren’t responsible for their content, availability, or privacy practices.
17. Limitation of Liability
To the maximum extent permitted by law, Digital Mxlytics isn’t liable for indirect, incidental, or consequential losses (including lost profits, leads, data, or goodwill) arising from use of the website or our services. Our total liability for a given engagement is capped at the fees you paid us for that specific service during the three months immediately preceding the event giving rise to the claim. Nothing here excludes liability that can’t lawfully be limited, including for fraud or wilful misconduct.
(Note: confirm the three-month cap reflects the level of risk you’re comfortable carrying — it’s a genuine business decision, not just legal phrasing.)
18. Indemnification
To the extent permitted by law, you agree to hold Digital Mxlytics harmless from claims arising from your unlawful use of the website, your breach of these Terms, material you supply that infringes another’s rights, or your products, offers, or business practices. This doesn’t require you to cover losses caused by our own fraud or wilful misconduct.
19. Termination & Suspension
We may suspend or terminate services if invoices remain unpaid, if you materially breach these Terms, if required account access is withdrawn, or if continuing would violate law or platform policy. Termination doesn’t cancel fees or obligations that arose beforehand.
20. Prohibited Marketing Activities
We don’t knowingly run campaigns designed to facilitate unlawful, fraudulent, or deceptive activity, and we may decline or discontinue work that conflicts with applicable law, advertising-platform rules, or our professional standards.
21. Force Majeure
We’re not responsible for delays caused by circumstances reasonably outside our control — internet or hosting outages, advertising-platform outages, cybersecurity incidents, government restrictions, or similar events. We’ll communicate material delays where practical.
22. Website Disclaimers
This website is provided “as is.” We don’t warrant it will be uninterrupted or error-free.
23. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the competent courts at Greater Noida / Gautam Buddh Nagar, Uttar Pradesh, India, subject to any mandatory consumer or legal rights that can’t be excluded under your own jurisdiction’s law.
24. Changes to These Terms
We may update these Terms to reflect changes in our services, pricing, or legal requirements, and we’ll update the date at the top when we do. Continued use of the website after a change constitutes acceptance. Changes to this page don’t automatically alter an existing client’s written commercial agreement.
25. Severability & Entire Agreement
If any provision here is found invalid or unenforceable, it will be modified to the minimum extent necessary and the remaining provisions continue to apply. These website Terms govern general use of the site; for paid services, the applicable proposal or written agreement may add engagement-specific terms, and that written agreement takes precedence over these Terms where the two conflict.
